German EnBW plans EUR 820m capital hike to back renewable energy projects

Jun 15, 2012 - German utility EnBW Energie said yesterday it will issue up to 27.1 million new shares in a bid to raise gross proceeds of at least EUR 820 million (USD 1m) for renewable energy projects.

The share issue is based on the authorisation of the annual general meeting on April 25.

The new shares will be offered to shareholders via indirect subscription rights at a price of EUR 30.90 apiece and a 9:1 subscription ratio.

The subscription period will run from June 19 until July 2.

The two majority shareholders, Eckarpri Beteiligungsgesellschaft mbH and OEW Energie-Beteiligungs GmbH, have decided to fully exercise their subscription rights and thus participate with EUR 400 million each.

The new shares will be entitled to dividend as of January 1, 2012. They will be listed on the Frankfurt and Stuttgart securities exchange on July 6, 2012.

A banking syndicate consisting of DZ Bank AG Deutsche Zentral-Genossenschaftsbank, Landesbank Baden-Wuerttemberg and UniCredit Bank AG will act as global co-ordinators of the issue.
